Hello,

i want to be sure that i make no mistake or violate any licenses.
at the moment we use vicidial a bit modified (screen/logos/additional features) in our callcenter.

are we allowed to sell it to another company if we share the source code?
we just want to charge for installation and a fee for monthly service/help.

i read the http://www.vicidial.org/LICENSE.txt but i'm not sure if we are allowed to do that ..
english isnt my native language so its difficult to understand everything right.

Yes you can do that, just make sure you keep the copyright and license notices intact and your client knows it's open source and has access to the source code. They should also be aware that they can redistribute the code for free to anyone.

If you are changing only for labor, yes. But the client must understand that the software has no per-seat restrictions or license fees.
