Hi is ok to put my company logo on display in my admin.php and agents interface on the vicidial system. ive seen a center who did it..how do i edit it on the web server part.

Is it ok? Check the license. This is open source so no one is monitoring you or your file modification.
How to? Find a web designer or PHP coder to search the admin.php and vicidial.php files to make the modification. As far as the interface while the agent is logged in, I wouldn't bother as it can screw up the heavy ajax and javascript that seems to be used in the files.

Technically, any change you make to ViciDial that you transfer to another entity must be open under the AGPLv2 license.

True, but I assumed he wanted to change the logo for persoanl use. I didn't think about redistribution purposes.

If the end-user changes the code, then no redistribution is necessary. If a consultant changes the code for the use of another company then technically you have to make the code open.
Simply replacing an image file would not qualify for this however.
